1908 – ein Jahr vor ihrer Verstaatlichung – liess die Gotthardbahn-Gesellschaft von Maffei eine zweite Serie zur Ergänzung der dreissig A 3/5 der ersten Serie (SLM, Baujahre 1894-1905) ausarbeiten. Vier Maschinen baute Maffei selber, vier wurden in Winterthur zusammengesetzt. Konstruktiv lehnten sich die acht Maschinen an die im Jahr 1906 bei Maffei beschafften Vorspannlokomotiven vom Consolidation-Typ C 4/5 mit den GB-Nummern 2801-2808 an, besaßen aber auch Ähnlichkeit mit den 1907 in Winterthur gebauten A 3/5 der Schweizerischen Bundesbahnen (SBB). Das Leistungsprogramm der ersten Serie A 3/5 Nr. 201-230 wurde beibehalten (siehe dort), durfte das Adhäsionsgewicht doch nicht wesentlich höher ausfallen. Die private Gotthardbahn wollte anscheinend im Hinblick auf die näher rückende Verstaatlichung vermeiden, noch in die Verstärkung der festen Anlagen, Brücken, Drehscheiben etc. investieren zu müssen.
