stockholders has been called for December4th to consider the matter. The plan is to exchange one share ofPhiladelphia common stock for two shares of Consolidated commonstock, and $50 in mortgage bonds, $7.50 in Philadelphia preferred,$2.50 in Philadelphia common and $3 in cash for each share of Con-solidated preferred deposited before November ist. The Philadelphia Co. also contemplates acquiring the Mononga- Tlic new Brill convertible and semi-convertible cars are shownfor the first time at any exhibition. Although the limitations ofthe Garden have prevented the company from bringing full-sizedcars, the sections and models displayed will illustrate the novelfeatures. The peculiar arrangement of sash and panels by which the caris made convertible is the invention of Mr. John A. Brill. It ap-peared in its first form a number of years ago, but owing to thefact that very small glass was employed at that time, it made littleheadway. In its new form the glass can be of any desirable size.
